SERVICE AGREEMENT
This Service Agreement ("Agreement") is made and entered into as of August 23, 2025 ("Effective Date"), by and between:
Prime Lead, a provider of lead generation and marketing services (hereinafter referred to as the “Company”),
and
The Client, an individual or entity engaging Prime Lead for its services.
1. Scope of Services
Prime Lead agrees to provide lead generation services to the Client, with the goal of delivering qualified, interested, and exclusive seller leads tailored to meet the Client’s specific business needs. The services include:
Pre-screened referrals from proprietary lead generation sources
Lead tracking and status updates through a shared Google Spreadsheet
2. Payment Terms
2.1 Sign-Up Fee
The Client agrees to pay a refundable sign-up fee of $1650, due upon execution of this Agreement.
2.2 Referral Fee
The Client (Broker/Agent) agrees to pay Prime Lead a referral fee of 5% of the net commission earned from any real estate transaction (buying, selling, or renting) that results from a lead provided by the Company.
“Net commission” refers to the amount retained by the agent after the brokerage split.
2.3 Reimbursement
Upon the first successful closing from a lead provided by Prime Lead, the full $1650 sign-up fee shall be reimbursed back to the Client.
3. Lead Delivery
Prime Lead shall deliver the first lead within 30 days from the Effective Date.
A total of 200 qualified referrals will be delivered over a period of 3 years.
All leads will be exclusive to the Client and sourced in accordance with the Client’s specified target area or criteria.
4. Client Responsibilities
The Client agrees to:
Promptly follow up with each lead provided
Actively communicate with Prime Lead and provide timely feedback on lead quality and outcomes
Comply with all applicable laws and ethical standards in engaging with leads
5. Agreement Duration
This Agreement shall remain in effect for a period of 3 years from the Effective Date, unless terminated earlier in accordance with Section 9.
6. Refund Policy
6.1 Initial Refund Eligibility
The Client may request a refund within 30 days of the Effective Date only if Prime Lead fails to deliver the first lead as specified in Section 3.
6.2 Refund Amount
If deemed eligible, the Client will receive a 50% refund of the sign-up fee. Any refund shall be processed within 60 business days from the date of receipt of the written request.
6.3 Post-30-Day Policy
After the 30-day period has elapsed, the Client is no longer eligible to request a refund or initiate a payment dispute under this Agreement.
7. Support & Additional Services
7.1 Dedicated Support
The Company shall provide up to 8 hours of dedicated support per day during the active service period.
7.2 Included Services
In total 200 exclusive, pre-screened seller referrals
Lead tracking via Google Spreadsheet
9. Confidentiality & Compliance
Both parties agree to maintain strict confidentiality regarding all proprietary or sensitive information shared during the course of this Agreement.
9.1 DNC Compliance
Prime Lead will conduct a Do Not Call (DNC) screening before transferring or providing any lead. After the lead has been shared, the Client assumes full responsibility for all communication, outreach, and compliance with DNC laws and regulations. The Company shall not be held liable for any violations occurring after the handoff of the lead.
11. Entire Agreement
This Agreement represents the entire understanding between the parties and supersedes all prior agreements, whether written or verbal, regarding the subject matter herein. No modification or amendment shall be valid unless in writing and signed by both parties.
IN WITNESS WHEREOF, the parties have executed this Agreement as of the Effective Date.
